Terms of Service

These Terms of Service ("Terms") govern your use of PayDLT, a stablecoin payroll platform operated by StackStats Apps LLC ("PayDLT," "we," "us," or "our"). By accessing or using PayDLT, you agree to these Terms.

IMPORTANT: These Terms contain binding arbitration and class action waiver provisions that affect your legal rights. Please read carefully.

1. Acceptance of Terms

By creating an account, accessing our platform, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use PayDLT.

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction.

2. Service Description

PayDLT is a software platform that facilitates payroll payments using stablecoins and cryptocurrencies on the XRP Ledger. Our services include:

  • Contractor management and onboarding tools
  • Payment processing using XRPL tokens (RLUSD, USDC, USDT, XRP)
  • Payment scheduling and batch processing
  • Tax documentation generation (1099-NEC forms)
  • Transaction tracking and reporting
  • API access for integrations

PayDLT is a technology platform only. We do not:

  • Act as a bank, money transmitter, or financial institution
  • Provide financial, tax, or legal advice
  • Hold, custody, or control your funds or private keys
  • Guarantee employment relationships or contractor agreements

3. Account Registration and Security

Account Creation

To use PayDLT, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access
  • Keeping your account information current and accurate

Identity Verification

We may require identity verification (KYC) to comply with anti-money laundering laws and regulations. Failure to provide requested information may result in account suspension or termination.

Account Eligibility

You may not use PayDLT if you:

  • Are located in a jurisdiction where our services are prohibited
  • Are listed on any U.S. or international sanctions list
  • Have been previously banned or suspended from our platform
  • Intend to use our services for illegal purposes

4. Wallet and Payment Responsibilities

Non-Custodial Service

PayDLT does not custody funds or store private keys. You are solely responsible for:

  • Securing your XRPL wallet and private keys
  • Backing up your wallet recovery phrases
  • Maintaining sufficient token balances for payments
  • Transaction fees (network fees on the XRPL)

Irreversible Transactions

Blockchain transactions are irreversible. Once a payment is sent:

  • It cannot be canceled, reversed, or refunded by PayDLT
  • Incorrect wallet addresses may result in permanent loss of funds
  • You are responsible for verifying recipient information before sending

Network Risks

You acknowledge risks associated with blockchain technology:

  • Network congestion may delay transactions
  • Transaction fees may fluctuate
  • Smart contract or protocol vulnerabilities
  • 51% attacks or other network disruptions

5. Payments and Fees

Subscription Fees

PayDLT offers Free, Pro, and Business subscription plans with different features and limits. Subscription fees:

  • Are billed monthly or annually in advance
  • Are non-refundable except as required by law
  • May change with 30 days' notice to existing subscribers
  • Do not include blockchain network transaction fees

Transaction Fees

XRPL network fees (typically $0.0002 per transaction) are paid by the sender and are not controlled by PayDLT. These fees go to XRPL validators, not to PayDLT.

Payment Processing

Subscription payments are processed through third-party payment processors. You agree to their terms when using their services.

6. Tax Compliance and Reporting

Your Tax Responsibilities

You are solely responsible for:

  • Determining applicable tax obligations for your payroll payments
  • Withholding, collecting, and remitting any required taxes
  • Filing accurate tax returns with appropriate authorities
  • Classifying workers correctly (employee vs. contractor)
  • Complying with wage and labor laws in all relevant jurisdictions

1099 Forms

PayDLT provides tools to generate 1099-NEC forms for U.S. contractors. However:

  • You are responsible for verifying the accuracy of all tax forms
  • PayDLT does not provide tax advice or guarantee compliance
  • You must ensure contractors meet 1099 reporting thresholds
  • Filing deadlines and requirements are your responsibility

International Payments

Cross-border payments may trigger additional tax reporting requirements (e.g., Form 1042-S). Consult a tax professional for guidance on international contractor payments.

7. Prohibited Uses

You may not use PayDLT to:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading practices
  • Process payments for illegal goods or services
  • Evade taxes or circumvent reporting requirements
  • Launder money or finance terrorism
  • Misclassify employees as contractors to avoid benefits/taxes
  • Send unsolicited bulk payments (spam)
  • Interfere with platform security or performance
  • Impersonate others or provide false information
  • Scrape, reverse engineer, or copy our platform

8. Intellectual Property

PayDLT and its content (including software, designs, trademarks, and documentation) are owned by StackStats Apps LLC and protected by copyright, trademark, and other laws.

You receive a limited, non-exclusive, non-transferable license to use PayDLT solely for payroll purposes as permitted by these Terms. You may not:

  • Copy, modify, or create derivative works of our platform
  • Resell or redistribute PayDLT services
  • Remove proprietary notices or branding
  • Use our trademarks without written permission

9. User Content and Data

You retain ownership of data you upload to PayDLT (contractor information, payment records, etc.). By using our platform, you grant us a license to use this data to:

  • Provide and improve our services
  • Generate reports and analytics
  • Comply with legal obligations

You represent that you have all necessary rights to the data you upload and that it does not violate any laws or third-party rights.

10. Disclaimers and Limitations of Liability

No Warranties

PAYDLT IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability or fitness for a particular purpose
  • Uninterrupted, error-free, or secure operation
  • Accuracy or reliability of information
  • Compatibility with your systems or requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKSTATS APPS LLC SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, data, or business opportunities
  • Damages exceeding the fees you paid in the 12 months before the claim
  • Losses resulting from blockchain transactions, network issues, or wallet security
  • Tax penalties, fines, or legal liability arising from your use of PayDLT

Financial Advice Disclaimer

PayDLT does not provide financial, tax, accounting, or legal advice. Information on our platform is for general educational purposes only. Consult qualified professionals before making financial or tax decisions.

Third-Party Services

We are not responsible for third-party services you access through PayDLT (wallet providers, exchanges, blockchain infrastructure). Your use of third-party services is governed by their terms.

11. Indemnification

You agree to indemnify and hold harmless StackStats Apps LLC, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of PayDLT
  • Your violation of these Terms or applicable laws
  • Your contractor relationships and payment obligations
  • Tax liability or non-compliance with reporting requirements
  • Disputes with contractors or third parties

12. Termination and Suspension

Termination by You

You may cancel your account at any time through account settings or by contacting support. Cancellation does not entitle you to refunds for unused subscription time.

Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your account activity appears fraudulent or illegal
  • Required by law or legal process
  • We discontinue the service (with 30 days' notice)

Effect of Termination

Upon termination:

  • Your license to use PayDLT ends immediately
  • We may delete your account data (subject to legal retention requirements)
  • You remain liable for any unpaid fees or obligations
  • Sections of these Terms that should survive termination (e.g., liability limitations, indemnification) remain in effect

13. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at support@stackstatsapps.com to attempt informal resolution. We will try to resolve disputes within 30 days.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the American Arbitration Association (AAA) rules, rather than in court. This applies to all disputes except:

  • Small claims court matters (under jurisdictional limits)
  • Intellectual property disputes
  • Requests for injunctive relief

Class Action Waiver

YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms periodically. Material changes will be communicated by:

  • Posting the updated Terms with a new "Last Updated" date
  • Email notification to registered users
  • Prominent notice on our platform

Continued use of PayDLT after changes are posted constitutes acceptance of the updated Terms. If you don't agree, you must stop using PayDLT and cancel your account.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayDLT.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor.

Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, internet outages, blockchain network issues, government actions).

Notices to PayDLT must be sent to support@stackstatsapps.com. We will send notices to the email address associated with your account.
